I assist entrepreneurs, partners, family-owned businesses, and other small businesses in establishing the proper legal foundation for their enterprise. The type of business form chosen has important implications for taxes, ability to obtain bank financing, and personal liability of the owners for business obligations. As one of the few attorneys who majored in tax law in law school, I am uniquely qualified to advise small businesses on these issues.

Depending on goals of the business, number of owners and other factors, I may recommend forming as a standard C corporation, limited liability company (LLC), limited liability partnership (LLP), family limited partnership, S corporation, sole proprietorship or other business entity formation.

Additionally, I also provide ongoing advice to small businesses regarding business contracts, employment law issues, compliance issues. I also advise small businesses on succession planning and ownership transfers, through the use of devices such as buy-sell agreements funded by life insurance.
